1. About these Terms
Effective October 1, 2026. These Terms of Service govern access to and use of AuditRes websites, software, workspaces, reports, and related services provided by AuditRes LLC ("AuditRes," "we," "us," or "our"). By accessing or using AuditRes, you agree to these Terms on behalf of yourself and, when applicable, the organization you represent.
2. Business use and authorized users
AuditRes is a business software platform. You are responsible for ensuring that users you authorize to access an organization workspace are permitted to do so and that account credentials are kept secure. You must promptly notify AuditRes if you believe an account or workspace has been accessed without authorization.
3. What AuditRes provides
AuditRes provides evidence-first invoice, spend, receivables, reconciliation, findings, and recovery workflows across supported workspaces. The platform may identify potential billing discrepancies, overcharges, duplicate payments, missed credits, contract mismatches, or other review candidates.
No recovery guarantee. A detected difference, score, recommendation, or draft finding is not a promise or guarantee of savings, recovery, vendor acceptance, reimbursement, or financial outcome. Findings should be validated against the relevant source records and reviewed by authorized personnel.
4. Customer data
You retain ownership of data and documents you provide to AuditRes. You grant AuditRes a limited right to host, process, transmit, and display that data only as reasonably necessary to provide, secure, support, and improve the service and to meet legal obligations. You are responsible for having the rights and permissions necessary to provide the data you submit.
Do not submit passwords, payment-card data, or other information that the applicable AuditRes intake flow does not request. Do not submit protected health information through general website forms. PHI may be uploaded only after AuditRes has expressly confirmed PHI-enabled access for the applicable organization.
5. Acceptable use
You may not use AuditRes to violate law, infringe another party's rights, interfere with service security or availability, attempt unauthorized access, introduce malicious code, probe or bypass access controls, or use the service to create misleading or unsupported financial claims.
6. Fees, subscriptions, and billing
Paid plans may be monthly, annual, fixed-term, usage-based, or otherwise described at checkout or in an applicable order. Subscription fees and renewal terms are shown before purchase. Taxes, where applicable, are handled through the relevant billing provider.
For orders processed by Paddle, our checkout is handled by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle manages payment-related customer service and returns for those transactions. Paddle's buyer terms and refund rules also apply to Paddle-processed purchases.
7. Cancellation
Unless a specific order states otherwise, cancellation of a recurring subscription prevents future renewal and takes effect at the end of the current paid billing period. Cancellation does not automatically create a refund for amounts already billed. Refund eligibility is described in our Refund Policy.
8. Intellectual property
AuditRes and its software, interfaces, documentation, branding, designs, workflows, and platform content are owned by AuditRes LLC or its licensors and are protected by applicable intellectual-property laws. Except for the limited right to use the service under these Terms, no ownership rights are transferred to you.
9. Confidentiality and security
Each party should use reasonable care to protect confidential information received from the other. AuditRes uses administrative and technical safeguards designed to protect the service and customer data, but no online system can be guaranteed to be completely secure.
10. Service changes and availability
We may update features, interfaces, integrations, security controls, and service limits over time. We may suspend access when reasonably necessary to address security, legal, payment, abuse, or operational risks.
11. Disclaimers
To the maximum extent permitted by law, AuditRes is provided on an "as available" basis. AuditRes does not provide legal, tax, accounting, medical, insurance, or other professional advice. You remain responsible for business decisions, vendor communications, dispute positions, accounting treatment, and conclusions drawn from your records.
12. Limitation of liability
To the maximum extent permitted by law, AuditRes LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, or loss of business opportunity arising from use of the service. Nothing in these Terms excludes liability that cannot legally be excluded.
13. Changes to these Terms
We may update these Terms from time to time. The effective date at the top of this page will be updated when material changes are published. Continued use after an update constitutes acceptance where permitted by law.
